These Terms of Service set out the terms on which You may access and use the Websites, Platforms, Services and Products located at korocard.com and card.korocard.com and any related Websites, Services, Products and Platforms provided by Koro Card Ltd ("Koro Card", "we", "our", or "us").

“Website(s)”, “Service(s)”, “Product(s)”, "Platform(s)"

(a) the Koro Card websites located at korocard.com and card.korocard.com;
 
(b) any other website, domain or sub‑domain operated by or on behalf of Koro Card Ltd from time to time;
 
(c) the Koro Card services and platform and associated interfaces, including (without limitation) the platform and services accessible at card.korocard.com; and
 
(d) any other online or offline services, software, applications, tools, platforms, features or products provided by Koro Card Ltd from time to time,
 
in each case as applicable, and references to these terms in the singular or plural shall be construed interchangeably where the context so permits.
 
"User(s)", "You", "Your", "Customer(s)", "Individual(s)", "Company(ies)"
“User(s)”, “You”, "Customer(s)", "Individual(s)", "Company(ies)" means, as the context requires:
 
(a) any Individual or legal entity that accesses or uses the Website(s), Service(s) or Product(s), whether directly or through any third party;
 
(b) where the User is a legal entity (such as a Company, partnership or organisation), “User” and “You” also include its directors, officers, employees, contractors, agents, representatives, affiliates and any other third parties acting on its behalf or using the Website(s), Service(s) or Product(s) under its authority or control;
 
(c) where the User is an Individual, “User” and “You” also include any person or entity acting on Your behalf or under Your authority or control (including, without limitation, Your employees, contractors, agents, representatives, and any other third parties whom You permit or enable to access or use the Website(s), Service(s) or Product(s)),
 
in each case as applicable, and references to these terms in the singular or plural shall be construed interchangeably where the context so permits.
 
"Account(s)", "Profile(s)", "Card(s)"
"Account(s)", "Profile(s)", "Card(s)" means a registered User profile on the Koro Card Platform. One Account can contain a singular or multiple Profiles. One Account can contain singular or multiple Cards. One Account can contain singular or multiple Users. In the case of a Company, one Account may cover many Profiles, Cards, or Users.
 
In each case as applicable, and references to these terms in the singular or plural shall be construed interchangeably where the context so permits.
 

Agreement of Terms of Service

By accessing korocard.com and card.korocard.com, or any related Website(s), Service(s), Product(s), or Platform(s) provided by Koro Card Ltd, You agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If You do not agree with these Terms of Service, You are prohibited from using or accessing these Websites or using any Services, Products, or Platforms provided by Koro Card Ltd.
 
We, Koro Card Ltd, reserve the right to review, amend and modify any of these Terms of Service at our sole discretion from time to time. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication, and will be deemed to be accepted by You by Your continued use of the Websites, Services, Platforms or Products provided by Koro Card Ltd.
 
Privacy Policy Agreement
By using our Websites, Services, Products, or Platforms, You also agree to our Privacy Policy listed on our Website. If You create an Account on card.korocard.com, You agree to the supplemental Privacy Policy provided there.

Eligibility & Account registration

You must be 18 or older to use the Service. You are responsible for safeguarding Your credentials and for all activity under Your Account. Provide accurate and current information and keep it updated.
 

Limitations of use and Acceptable Use

By using our Websites, Products, Platforms, or Services, You warrant on behalf of yourself, Your Users, and other parties You represent that You will not:
· modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on our Websites, Services, Products and Platforms;
· remove any copyright or other proprietary notations from any materials and software on our Websites, Services, Products and Platforms;
· transfer the materials to another person or "mirror" the materials on any other server;
· knowingly or negligently use our Websites, Services, Products and Platforms in a way that abuses or disrupts our networks or any other Service Koro Card Ltd provides;
· use our Websites, Services, Products and Platforms to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material, content restricted to adults in any country, including but not limited to pornographic material, narcotic-related material, and so on;
· use our Websites, Services, Products and Platforms in violation of any laws or regulations;
· use our Websites, Services, Products and Platforms in conjunction with sending unauthorised advertising or spam;
· harvest, collect, or gather user data without the user's consent; or
· use our Websites, Services, Products and Platforms in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties,
· transmit malware or attempt to disrupt or overload the Service,
· resell or rent-out our Service(s), Platform(s), or Product(s), or access to our Service(s), Platform(s), or Product(s), or otherwise sell, rent, or give away for free a User Profile or Card on Your Account to a third party that is not an active member of Your Company, or sell, rent-out, or give away for free Your Account. For clarity, only yourself and active members of Your Company may have a Profile or Card on Your Account, and under no circumstances can these be sold, rented, or given away for free to other third parties, and You may not sell, rent-out, or give away for free Your Account,
· advertise, market, sell, license, resell, frame, re‑brand, white‑label or otherwise present or represent the Website(s), Service(s), Product(s) or Platform(s), in whole or in part, as Your own or as being provided by anyone other than Koro Card Ltd. This does not limit You from advertising, selling or helping to sell or advertise Koro Card as agreed with Koro Card Ltd under a separate agreement (such as an affiliate agreement).

 

Intellectual property

The intellectual property in the materials contained on our Website(s), Service(s), Product(s) and Platform(s) are owned by or licensed to Koro Card Ltd and are protected by applicable copyright and trademark law. We grant our Users permission to download one copy of the materials for personal, non-commercial transitory use, for the sole purpose of accessing and using the Website(s), Product(s), Service(s), and Platform(s).
 
This constitutes the grant of a licence, not a transfer of title. This licence shall automatically terminate if You violate any of these restrictions or the Terms of Service, and may be terminated by Koro Card Ltd at any time.
 

User-generated content, Content Ownership & License

You retain Your intellectual property ownership rights over content You submit to us for publication on our Websites or associated Products, Platforms, or Services. We will never claim ownership of Your content, but we do require a licence from You in order to use or show it. This allows us to show it on Your Profile and display it to people viewing Your Profile.
 
When You use our Websites, Products, Platforms, or Services to post, upload, share, or otherwise transmit content covered by intellectual property rights, You grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, process, use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of Your content solely to operate and improve the Service.
 
The licence You grant us can be terminated at any time by deleting Your content or Account. However, to the extent that we (or our partners) have used Your content in connection with commercial or sponsored content, the licence will continue until the relevant commercial or post has been discontinued by us.
 
You give us permission to use Your username and other identifying information associated with Your Account in a manner that is consistent with Your privacy preferences and our Privacy Policy.
 

Data collected by You

When You collect third‑party contact details via Koro Card, You act as the data controller, Koro Card acts as Your data processor. You are responsible for obtaining any required consents and complying with applicable law. See our Privacy Policy for more details.
 
Data Responsibility and Backups
You are solely responsible for all data, content and information that You upload to, store on, collect, or process through the Website(s), Service(s), Platform(s) or Product(s), including (without limitation) Your Profile content, configuration data, and any information You collect from or about Your own Users, Customers, contacts, clients, or other third parties.
You are responsible for maintaining Your own adequate and independent backups of all such data and content. Koro Card Ltd does not provide, and is not obliged to provide, backup or archiving services for Your data.
To the fullest extent permitted by applicable law, Koro Card Ltd shall not be liable to You or to any third party for any loss, corruption or destruction of data, or for any failure, delay or inability to recover data, whether arising from Your use or misuse of the Website(s), Service(s), Platform(s) or Product(s), or from system failures, errors or interruptions, or otherwise, caused by Koro Card or its suppliers or related third parties.
 

Paid plans, billing, renewals, and features

Some features require payment, either one‑off or by subscription. Fees are displayed before purchase and may change at any point, at our sole discretion, as listed on our Pricing page. The Pricing page displays the different plans we offer, as well as any Optional Add-ons.
Subscriptions renew automatically unless cancelled in Your Account settings or by e-mailing us at support@korocard.com prior to renewal (cancelling by e-mail requires 7 working days notice before the automatic renewal date, cancelling from within Your Account settings can be done up until the renewal date).
Subscription fees may change between renewal dates or billing cycles, at our sole discretion. Fee changes will not affect any period for which You have already paid and started, unless You make fee-based or feature-based changes to Your Account (for example, adding a User or an Optional Add-on feature). Optional Add-ons may charge use-base or consumption-based fees, which can change per billing cycle, depending on how they are used (the fee structures for Optional Add-ons are displayed on our Website).
We will attempt to let You know in advance by the e-mail address provided on Your Account (or, in the case of a Company Account, then by Your main super-admin Account e-mail address) about any changes to Your renewal price, but as we cannot guarantee the delivery of e-mails successfully to You, it is ultimately Your responsibility to check upcoming renewal prices before the point of renewal.
We reserve the right to amend or cancel any plan or price or Optional Add-on on Your Account that has been given incorrectly, by mistake, or otherwise in error.
Payments are processed by third‑party providers.
 
You understand that different plans provide different features for different price structures, and these may change from time-to-time at Koro Card's sole discretion. We will endeavour not to remove any listed features from already paid-for plans You currently have, but we cannot guarantee this. If we remove a feature during a billing period or cycle, we will let You know by the e-mail on Your Account. If You no longer wish to have Your Account with us because of this feature removal, You may cancel without penalty and receive a partial, prorated refund equal to the unused period remaining on Your subscription/one-off payment term. Any unpaid fees due to us by You (for example, but not limited to, consumption-based Optional Add-ons fees) will be deducted from this partial refund. You and any related third parties will not be entitled to any compensation for the removal of a feature, outside of this prorated, partial refund, and we will not be liable for any losses claimed by You or any related third party due to the removal of a feature.
You understand that features may develop and change in how they work over time, and this will not usually give grounds for a penalty-free refund. If a feature changes significantly in how it works, and this significantly negatively affects You, please reach out to us and we will consider a partial, prorated refund equal to the unused period remaining on Your subscription/one-off payment term, on a case-by-case basis, at our sole discretion. Any unpaid fees due to us by You (for example, but not limited to, consumption-based Optional Add-ons fees) will be deducted from any partial refund given. You and any related third parties will not be entitled to any compensation for any changes of a feature, and we will not be liable for any losses claimed by You or any related third party due to any changes of a feature.
If You are given access to a feature by mistake, incorrectly, or otherwise in error, Koro Card reserves the right to withdraw that feature from Your Account without liability or compensation.
You understand that any new features and releases might not be included as part of Your current plan.
 

Coupons, Discounts and Promotional Offers

General
From time to time, Koro Card Ltd may make available coupons, discount codes, promotional pricing or other promotional offers (together, “Promotions”). All Promotions are offered at the sole discretion of Koro Card Ltd and may be subject to additional or specific terms and conditions notified to You at the time of the Promotion.
Rescission and withdrawal
Koro Card Ltd reserves the right to withdraw, rescind, suspend, modify or refuse to apply any Promotion at any time, with or without notice, including after a Promotion has been advertised, issued or applied, to the fullest extent permitted by law.
Scope of use
Unless expressly stated otherwise in writing:
(a) each Promotion may only be used once, by the Individual Customer to whom it is issued;
(b) each Promotion applies to a single transaction, subscription, Service or Product only; and
(c) Promotions are non‑transferable, may not be sold, exchanged or assigned, and have no cash or monetary value and no cash alternative.
“Lifetime”, “ongoing” and similar Promotions
Where any Promotion is described as being “lifetime”, “forever”, “for ever”, “ongoing”, “permanent”, “locked in”, “repeating”, or similar, such expressions do not refer to the lifetime of any Individual Customer and are not a promise to provide any Service for the duration of a customer’s life. Instead, the intention is that the relevant discounted rate or benefit will continue to be honoured on an ongoing basis in respect of the specific subscription, Service or Product to which that Promotion was applied only, for so long as:
(a) the relevant subscription, Product, or Service remains continuously active and is not cancelled, terminated, downgraded, upgraded, transferred to another Product or Service, or materially changed;
(b) that specific subscription, Product or Service continues to be offered by Koro Card Ltd (You acknowledge that any subscription, Product or Service may be varied, suspended or withdrawn by Koro Card Ltd at any time, at its sole discretion); and
(c) the Promotion remains economically viable for Koro Card Ltd, as determined by Koro Card Ltd in its sole discretion.
Such Promotions apply only to the base, flat‑rate price for that specific subscription, Product or Service and do not apply to any add‑ons, extras, usage‑based or consumption‑based charges, overages, third‑party fees, taxes or other ancillary amounts, and so on, unless expressly stated otherwise in writing.
Notwithstanding the foregoing, You acknowledge and agree that any such Promotion may be withdrawn, rescinded, modified, suspended or discontinued by Koro Card Ltd at any time (and that Koro Card Ltd will be under no obligation to keep providing or honour the benefit of the Promotion), including after it has been applied and used, at Koro Card Ltd’s sole discretion, for any reason (including, without limitation, where the Promotion is or becomes untenable, results in or may result in financial loss to Koro Card Ltd, does not make economic sense to Koro Card Ltd, or adversely affects or may adversely affect Koro Card Ltd’s business, operations or commercial strategy, as determined by Koro Card Ltd at Koro Card Ltd's sole discretion), and that You or any related third party will not be entitled to any compensation, damages or refund as a result, to the fullest extent permitted by law.
Misuse, error and fraud
Koro Card Ltd reserves the right to refuse to honour, or to reverse or cancel, any Promotion (including any discounted price already applied) where it reasonably believes that:
(a) the Promotion has been used in error or was issued or advertised in error;
(b) the Promotion has been misused, duplicated, altered, used outside its stated terms or combined with other offers contrary to our instructions;
(c) there is or has been any fraud, abuse, breach of these Terms of Service or other improper conduct by You or by any third party acting on Your behalf or using Your Account; or
(d) it has been used by an unintended party or in an otherwise unintended way.
No liability for Promotions
To the fullest extent permitted by applicable law, Koro Card Ltd shall not be liable to You or to any third party for any loss, damage, cost or expense arising out of or in connection with the withdrawal, rescission, suspension, modification, refusal or non‑availability of any Promotion, nor for any failure or inability to apply or benefit from any Promotion, whether in whole or in part.
Combination and precedence
Unless expressly stated otherwise, Promotions cannot be combined with any other coupons, discounts or promotional offers, and where more than one Promotion could apply, Koro Card Ltd may determine, in its sole discretion, which (if any) Promotion shall be applied.
Renewal, pricing, billing
Promotional pricing is subject to our standard billing, pricing, and renewal terms, as outlined in this document. Promotions do not override our standard policies regarding plan features, billing cycles, renewals, fee changes, and so on.
 

Refunds

This Refund Policy explains how Koro Card Ltd handles refunds for purchases made through korocard.com, card.korocard.com, and any other purchasing avenues operated by Koro Card.
Overview
We want Users to be satisfied with Koro Card. This policy covers digital software and online Services provided via korocard.com, card.korocard.com and any other Koro Card digital Platforms.
Scope
This Refund Policy applies solely to software or digital Services purchased from Koro Card. It does not apply to consumable or usage‑based Products (for example, pay‑per‑use, metered, or consumption‑based Services, top‑ups, transaction‑based fees, or similar variable‑use items).
Exclusion for physical Products
This Refund Policy does not apply to any physical Products (if and when offered by Koro Card). Any refunds for physical Products will be handled in accordance with the applicable shipping, returns or Product‑specific policy notified to You at the time of purchase.
14‑day money‑back guarantee
Unless otherwise stated at checkout, You may request a refund within 14 days of the original purchase date. Refunds will be issued to the original payment method, where technically feasible. Refund requests outside of this time frame are not usually eligible, but please feel free to reach out to us if there are extenuating circumstances and we will try our best to help You.
Eligibility of refunds
Refunds are generally available where You are dissatisfied with the Service or experience a Service issue that Koro Card is unable to resolve within a reasonable time.
Refunds are only available for new Customer Accounts, unless where the Service is materially faulty and Koro Card is unable to resolve the fault within a reasonable time.
A recurring payment for a recurring subscription is not eligible for a refund as standard, although we will use our discretion to provide a refund if a request is received in a reasonable time and for a good reason, at Koro Card Ltd's sole discretion. For the purpose of clarity, if it is a new customer's first payment for a subscription, that would usually be eligible for a refund; if it is a customer's second or more payment for a subscription, that would not usually be eligible for a refund.
Accounts that are suspended or terminated, or could be suspended or terminated, due to a breach of Koro Card’s Terms of Service (as laid out in this document), or misuse by You or by any third party acting on Your behalf or using Your Account, are not eligible for a refund under this policy.
Any abuse (to be determined at Koro Card's sole discretion) by You or by any third party acting on Your behalf, or where we reasonably believe there might be abuse by You or any third party acting on Your behalf, of this refund policy will cause You to be ineligible for a refund.
Refunds are issued at Koro Card Ltd's sole discretion.
How to request a refund
To request a refund, please email support@korocard.com from the email address associated with Your Account, including:
  • Your Account email;
  • Your order reference or transaction ID; and
  • a brief explanation of the reason for Your request.
  • Please include the words "refund request" in the subject line of Your email so that we can identify and process Your request efficiently.
We aim to process eligible refunds within 7–10 business days of confirming Your eligibility.
Consumer rights
Nothing in this Refund Policy affects Your statutory rights under UK consumer law or any other rights which cannot be excluded or limited by applicable law.
Cooling‑off period for UK consumers (digital content)
If You are a consumer resident in the United Kingdom, You may have a statutory right under UK consumer law to cancel certain distance contracts (including some online purchases) within 14 days without giving any reason. However, by taking out and accessing our digital Products, Platforms, and Services, You acknowledge and agree that:
(a) You have requested that we begin providing the digital Product or Service to You immediately;
(b) You have given us Your express consent to the immediate supply of the digital Product or Service; and
(c) You understand and agree that, as a result, You lose Your statutory 14‑day cooling‑off right to cancel in respect of that digital Product or Service once we start providing it.
Notwithstanding the above, we will still consider refund requests from UK consumers within 14 days of purchase under our normal 14‑day money‑back guarantee set out above, and we will review Your request fairly and in good faith.

Contact Details and Email Communications

You are responsible for ensuring that the contact details associated with Your Account, including Your email address, are accurate, complete and up to date at all times. You must promptly notify Koro Card Ltd of any change to Your email address or other contact information by updating Your Account details or by contacting us using the methods we specify.
Koro Card Ltd will send notices, Account information, service updates and other important communications to the email address registered on Your Account, and such communications will be deemed received by You when sent. You are responsible for ensuring that emails from Koro Card Ltd are successfully delivered to Your inbox (for example, by checking Your spam/junk folders and adding our email addresses or domains to Your safe senders list). Koro Card Ltd shall not be liable for any loss, damage or other consequences arising from Your failure to keep Your contact details up to date or to receive, read or act upon any email or other communication sent to the contact details registered on Your Account.
 

Right to Refuse Service

Koro Card Ltd reserves the right, at its sole discretion, to refuse to provide Services or Products to any Individual or organisation at any time and for any reason. Koro Card Ltd shall have no liability whatsoever to any such person or organisation, or to any related third parties, arising out of or in connection with any decision to refuse Service.
 

Availability and Uptime Disclaimer

Koro Card Ltd makes reasonable efforts to keep the Website(s), Service(s), Product(s) and Platform(s) available and functioning, but does not guarantee uninterrupted, error‑free or continuous availability or any particular level of uptime or performance. Access may be suspended, limited or interrupted at any time, including for maintenance, upgrades, technical issues, failures of third‑party services or suppliers, or events beyond our reasonable control.
 
To the fullest extent permitted by applicable law, Koro Card Ltd shall not be liable to You or to any third party for any unavailability, interruption, slowdown or malfunction of the Website(s), Service(s), Product(s) or Platform(s), nor for any loss, damage, cost or expense arising therefrom, including (without limitation) any loss of profits, revenue, data, business, contracts, opportunities, goodwill, or any indirect, consequential, special or incidental loss or damage, or any third‑party claims.

 

Liability and Disclaimer

Our Websites, Products, Services, and Platforms, and the materials contained on them, are provided on an "as is" basis and "as available" without warranties of any kind, to the fullest extent permitted by law. To the extent permitted by law, Koro Card Ltd makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.
 
In no event shall Koro Card Ltd or its suppliers be liable for any consequential loss suffered or incurred by You or any third party arising from the use or inability to use this Website or associated Websites, Products, Platforms, or Services or the materials on this Website or associated Websites, Products, Platforms, or Services, even if Koro Card Ltd or an authorised representative has been notified, orally or in writing, of the possibility of such damage.
 
In the context of this Agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.
 
Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to You.
 
If a court of competent jurisdiction finds Koro Card Ltd liable, any claim by You or any third party shall be limited to, and shall not exceed, the total fees actually paid to Koro Card Ltd by You (or such third party, as applicable) for the relevant period during which the event giving rise to that liability occurred. For the avoidance of doubt, the “relevant period” is the specific period for which Koro Card Ltd received payment from You (or such third party, as applicable) in respect of the Services being provided at the time the event giving rise to liability occurred, and does not include any amounts paid in respect of any other period (whether before or after that event) or in respect of any other Services. Where the Services are provided on a recurring subscription basis, each recurring billing interval (for example, but not limited to, each one‑month or one‑year term, as applicable) shall constitute a separate period for the purposes of this clause, and no claim may extend to any prior or subsequent subscription period. Where the Services are provided on a one‑off or non‑recurring basis, any claim by You or any third party shall be limited to, and shall not exceed, the total amount actually paid by You (or such third party, as applicable) to Koro Card Ltd in respect of the specific one‑off period of Service to which the liability relates.
 
If any of the above is deemed unenforceable, unreasonable, unclear, or otherwise cannot be followed for whatever reason, as determined by a court of law, then, to the maximum extent permitted by law, Koro Card Ltd will not be liable for any direct, indirect, incidental, consequential or other damages, and our total liability will not exceed the amount You actually paid to Koro Card Ltd for the Service(s), Product(s) or Platform(s) in the preceding 12 months.
 

Accuracy of materials

The materials appearing on our Website are not comprehensive and are for general information purposes only. Koro Card Ltd does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this Website, or otherwise relating to such materials or on any resources linked to this Website.
 

Names, Likeness, Other Individual's or Company's Intellectual Property and Endorsements

Any names, likenesses, images, email addresses, phone numbers, domain names, physical addresses, other contact details, logos, Trademarks, copyrighted content, website addresses or other media used or displayed on the Website(s), Service(s), Platform(s) or Product(s) which resemble real persons, organisations, copyrighted works, Trademarks or contact points are purely coincidental and are not intended to refer to or represent any actual person, organisation, work, Trademark or contact details, unless expressly stated otherwise.
 
Where any real person, organisation, brand, Trademark, logo or copyrighted work is referenced or displayed, such use does not imply or constitute any endorsement, sponsorship or approval of Koro Card Ltd or of its Website(s), Service(s), Product(s) or Platform(s) by the relevant person or organisation.

Support, Support Content, AI Assistance and Non‑Reliance

You acknowledge that any information, guidance, recommendations or other content provided to You via any AI‑powered chatbot, automated assistant, support tool, or by email or other communications from Koro Card Ltd’s support team (together, “Support Content”) is provided for general information and assistance only. Support Content does not constitute legal, financial, tax or other professional advice and should not be relied upon as such.
 
Support Content does not form part of, and does not amend, vary or supplement, any contract between You and Koro Card Ltd, including these Terms of Service, unless Koro Card Ltd expressly confirms in a non‑automated written communication (i.e., an agreement signed by a Koro Card Ltd Director or an otherwise clearly identified contractual addendum) that specific terms are intended to be legally binding. In the event of any inconsistency between Support Content and these Terms of Service (or any other written agreement between You and Koro Card Ltd), the Terms of Service and such written agreement shall prevail.
 
Koro Card Ltd does not guarantee any particular response time for support requests. While we will endeavour to respond as soon as reasonably possible, You should allow up to 10 business days for a response to Your support enquiry.
 

Reputation and Public Representation

You agree that You will not use the Services or any Product or Platform provided by Koro Card Ltd in any manner which, in the reasonable opinion of Koro Card Ltd, is unlawful, defamatory, obscene, offensive, abusive, discriminatory, hateful, misleading, or otherwise likely to damage or bring into disrepute the name, reputation, goodwill or business of Koro Card Ltd, its Services, Product, or Platform, or its partners and suppliers.
 
You further agree that You will not: (a) advertise, market or promote Your use of the Services or Products or Platform; (b) publish, display or distribute any content (including on websites, social media, advertising materials or press communications); or (c) otherwise represent or portray Your use of the Services or Products or Platform, in any way that is likely to bring Koro Card Ltd or its Services or Product or Platform into disrepute or associate them with any of the activities or content described in the preceding paragraph.
 
Koro Card Ltd reserves the right, at its sole discretion, to require You to remove, withdraw or amend any such advertising, content or representation, and to suspend or terminate Your access to the Services, Product or Platform in the event of any breach of this clause, without any liability to You or any third party.
 

Termination of Product(s) and Service(s)

Product and Service Availability
Koro Card Ltd does not guarantee that any particular Product, plan or Service advertised or made available or subscribed to on our Website(s), Service(s) or Platform(s) will remain available, unchanged or continue to be offered. Any Product, plan, feature or Service may be varied, suspended or withdrawn by Koro Card Ltd at any time, with or without notice, to the fullest extent permitted by applicable law.
If You are subscribed to a Product, plan or Service that Koro Card Ltd decides to vary, suspend or withdraw, Koro Card Ltd may, at its sole discretion: (a) cancel that Product, plan or Service during the then‑current subscription or billing period; and/or (b) choose not to allow You to renew or continue that Product, plan or Service after the end of the current subscription or billing period. Any such cancellation, variation or non‑renewal will be handled in accordance with the termination, refund and liability provisions set out elsewhere in these Terms of Service.
 

Right to Suspend and Terminate

Termination not due to Your (or related third party's) breach
Koro Card Ltd may, at any time and at its sole discretion, suspend or terminate Your Account and/or Your access to and use of any of our Websites, Services, Products or Platform, in whole or in part, for any reason whatsoever, with or without notice, and without having to provide a reason to You.
 
Where Koro Card Ltd terminates Your Account or access to the Services, Products or Platforms for a reason other than (a) Your breach of these Terms of Service; (b) a breach by any third party acting on Your behalf or using Your Account; (c) Your misuse of the Services, Products or Platforms; or (d) Your non‑payment of fees, Koro Card Ltd’s total liability to You arising out of or in connection with such termination shall be strictly limited to a refund of the pre‑paid fees actually received from You in respect of the unused portion of the then‑current billing period only, calculated on a pro‑rata basis. By way of example only, if You have paid in advance for a 12‑month billing period and Koro Card Ltd terminates Your Account with 5 months of that billing period remaining (and such termination is not for any of the reasons set out in this clause), Koro Card Ltd’s maximum liability will be to refund an amount equivalent to the fees attributable to those remaining 5 months, and no more.
 
To the fullest extent permitted by applicable law, You acknowledge and agree that, other than any pro‑rata refund expressly provided for under this clause (where applicable), Koro Card Ltd shall have no liability whatsoever to You or to any third party arising out of or in connection with any suspension or termination of Your Account and/or access to the Services, Products or Platforms, whether such suspension or termination is partial or complete, temporary or permanent, and whether or not notice is given. Without limitation, Koro Card Ltd shall not be liable for any loss of profits, loss of business, loss of data, loss of anticipated savings, loss of opportunity, loss of goodwill, or any indirect or consequential loss or damage, in each case arising from or relating to such suspension or termination.
 
Breach of Terms of Service
We may, at our sole discretion, suspend or terminate Your right to use our Websites and associated Services, Products or Platforms, and terminate these Terms of Service immediately upon written notice to You for any breach of these Terms of Service.
 
A breach may include, but is not limited to, where Koro Card Ltd (at its sole discretion) reasonably believes that You, or any third party acting on Your behalf or using Your Account, have (a) breached any these Terms of Service (b) breached any applicable law; (c) misused the Services, Products or Platforms (in such a way that is determined by Koro Card Ltd at its sole discretion); or (d) any outstanding fees due to Koro Card Ltd that remain unpaid after the applicable due date.
 
You acknowledge and agree that, where Koro Card Ltd suspends or terminates Your access to, or use of, our Websites or associated Services, Products or Platforms as a result of Your breach of these Terms of Service: (a) You shall not be entitled to any compensation, damages or any refund of fees paid for any Services, Products or Platforms,; and (b) Koro Card Ltd shall have no liability to You or to any third party arising out of or in connection with such suspension or termination.
 

Indemnity

You agree to hold harmless, indemnify and keep indemnified Koro Card Ltd and its directors, officers, employees, partners, suppliers and related third parties from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs and expenses (including reasonable legal and professional fees) arising out of or in connection with Your (or any third party acting on Your behalf or using Your Account) use of the Service, Platforms, Websites or Products, or any breach by You (or by any third party acting on Your behalf or using Your Account) of these Terms of Service and/or any misuse of the Services, Products, Websites or Platforms.

Non‑Excludable Statutory Rights

Nothing in these Terms of Service is intended to exclude, restrict or limit any rights or remedies You may have that cannot be excluded, restricted or limited under applicable law, including any statutory rights You may have as a consumer under UK law (where applicable).

 

Severance

If any provision (or part of any provision) of these Terms of Service is or becomes invalid, illegal or unenforceable, it shall be interpreted or modified to the minimum extent necessary so as to be valid, legal and enforceable while, as far as possible, giving effect to the original intention of the clause. If such interpretation, modification or reduction is not possible, the relevant provision (or part-provision) shall be deemed severed, and the validity and enforceability of the remaining provisions of these Terms of Service shall not be affected.
 

Headings and sections

The headings and sections in these Terms of Service are for convenience and clarity only and do not affect the intended interpretation or construction of any provision.
 

Entire Agreement

These Terms of Service, together with any additional terms expressly incorporated by reference in writing signed by a Koro Card Ltd Director, constitute the entire Agreement between You and Koro Card Ltd in relation to the subject matter they cover and supersede all prior or contemporaneous discussions, negotiations, representations, understandings or agreements, whether oral or written.
 
You acknowledge that, in entering into these Terms of Service (which You agree to by continued use of the Website(s), Product(s), Service(s) and/or Platform(s) provided by Koro Card Ltd), You do not rely on, and shall have no remedy in respect of, any statement, representation, assurance or warranty (whether made innocently or negligently) that is not expressly set out in these Terms of Service, except that nothing in this clause shall limit or exclude any liability for fraud or fraudulent misrepresentation.

 

Governing law

These Terms of Service are governed by the laws of England and Wales. You irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
